Terms of Service
1. Acceptance of terms
By installing or using GeoMatch (the "App"), you ("Merchant" or "you") agree to be bound by these Terms of Service. If you do not agree, please do not install or use the App. The App is provided by Elarix Medical Ltd, a company registered in England and Wales under company number 16602969, with its registered office at 167-169 Great Portland Street, London, England, W1W 5PF ("we", "our", or "us").
2. Description of the service
GeoMatch is a Shopify app that adds a geolocation-based popup to storefronts and provides an AI translation engine. The service is provided "as is" and may be updated, modified, or discontinued at any time.
3. Plans and pricing
GeoMatch offers a free plan ("Free Forever") and paid plans. As of the date of this document, paid plans are not yet active and will be available once GeoMatch has been published on the Shopify App Store. The Free plan remains fully functional within its quota limits (1,000 popup views per month, 3 languages, 25 countries) regardless of paid plan availability.
When paid plans become available, billing will be processed through Shopify's standard subscription system. By upgrading, you authorize Shopify to charge your account on a recurring basis.
4. Acceptable use
You agree not to:
- Use the App for any unlawful purpose or in violation of any applicable law
- Display content through the App that is infringing, defamatory, obscene, or otherwise objectionable
- Attempt to reverse-engineer, decompile, or extract the source code of the App
- Resell, sublicense, or distribute the App without our written permission
- Use the App in a way that imposes an unreasonable load on our infrastructure or that of our sub-processors
5. Intellectual property
The App, including its source code, design, and trademarks, is owned by Elarix Medical Ltd and protected by copyright and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the App for your own Shopify store(s) for as long as you maintain a valid installation.
You retain ownership of all content you upload to the App (including translation files). By uploading content, you grant us a limited license to process and display this content as required to operate the App on your behalf.
6. Translation engine
The Translation Engine uses third-party AI technology (Anthropic's Claude API) to generate translations. While we strive for high quality, AI-generated translations may contain errors. You are responsible for reviewing and validating translations before publishing them. We make no warranty as to the accuracy, completeness, or fitness for purpose of any AI-generated content.
7. Disclaimer of warranties
The App is provided "as is" and "as available", without warranty of any kind, express or implied. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components.
8. Limitation of liability
To the maximum extent permitted by applicable law, in no event shall Elarix Medical Ltd, its affiliates, or its sub-processors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the App.
Our total liability to you for any claim arising out of or in connection with the App shall not exceed the total amount you have paid to us, if any, in the twelve (12) months preceding the claim.
9. Termination
You may uninstall the App at any time from your Shopify admin. We may suspend or terminate your access to the App if you violate these Terms or applicable law, with or without notice. Upon termination, your data will be retained or deleted as described in our Privacy Policy.
10. Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by email or via the App. Your continued use of the App after changes take effect constitutes acceptance of the updated Terms.
11. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
